Sri Lanka hikes company and society registration fees

The Sri Lankan government has increased a range of fees related to the registration of companies and societies under a gazette notification issued by the Minister of Trade, Commerce, Food Security and Cooperative Development, Wasantha Samarasinghe.

The revised fees, published in an Extraordinary Gazette dated July 6, amend the Companies (Fees) Orders and Societies (Fees) Orders that were last revised in 2022.

Under the new fee structure, the cost of registering a private limited company has increased from Rs. 4,600 to Rs. 5,200, while the fee for registering a public limited company has risen from Rs. 23,000 to Rs. 26,400.

The registration fee for an unlimited company has also increased from Rs. 17,250 to Rs. 19,800, while the fee for registering a company limited by guarantee has been fixed at Rs. 39,600.

The fee for obtaining approval for a company name has been increased from Rs. 2,300 to Rs. 2,600. The fee for filing an annual return has been set at Rs. 7,900, while the fee for registering mortgages, charges and debentures has been fixed at Rs. 9,900.

The gazette also revises fees for company secretaries, auditors, offshore companies and overseas companies establishing a place of business in Sri Lanka.

In addition, the fee for registering a society has increased from Rs. 3,450 to Rs. 3,900, while the fee for amending a society’s constitution has risen from Rs. 1,725 to Rs. 1,900.

The fee for obtaining a certified copy of a society has been set at Rs. 600, filing an annual return at Rs. 1,300 and conducting a file search at Rs. 265.
